I advise businesses in connection with start-up and entity selection issues, preparation of corporate records, business acquisitions and sales, real estate transactions, including 1031 transactions, contract review and negotiations, and shareholder agreements involving buy-sell provisions and share restrictions. I also handle business and commercial litigation cases in state and federal courts involving shareholder disputes, derivative lawsuits, breach of contracts and breach of warranty claims.

In addition, I represent financial institutions and businesses dealing with distressed borrowers or guarantors, including commercial workouts, loan modifications, forbearance agreements, creditors' rights litigation, receiverships, commercial foreclosures, Uniform Commercial Code Article 9 dispositions of collateral, and Bankruptcies.
